Creator Agreement

Brand Connection Ltd. (Bambassadors) ("Company") appoints you (“Creator”) on a non-exclusive, non-employee basis to endorse its clients' Brands and Products represented by (but not owned by) the Company and create content for marketing purposes to promote such Products and Brands.
The Company shall provide the necessary information regarding the Brands and/or Products to enable the Creator to deliver the Deliverables successfully.
By submitting the Deliverables created by the Creator which may include an interview about the Creator's experience with the Brand’s products (your voice and/or the video created by you shall be referred to together as “Deliverables”), the Creator expressly acknowledges and agrees to enter into a legal agreement with the company and has understood and agreed to comply with, and be legally bound by, the terms and conditions of this agreement.
The Creator represents and warrants that:
- The Deliverables are your original work, and solely owned by you;
- The Deliverables shall not contain:
- Trademarks, service marks logos, or other intellectual property rights owned by third parties;
- Medical information, financial information, banking account numbers or passwords, payment card data, biometric data, criminal history, racial, ethnic, political, or religious affiliation, trade union membership, or information about sexual life or sexual orientation;
- Information that is knowingly inaccurate or deceptive;
- Information that creates a risk to a person’s safety or health, violates applicable laws, promotes illegal drugs, violates export control laws, relates to illegal gambling, is unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, gives rise to civil liability, is inappropriate, involves theft or terrorism; or is otherwise malicious or fraudulent
- You have not registered the copyright in the Deliverables in any country; and
- You have not encumbered any right in the Deliverables, or assigned any right in the Deliverables to any third party.
The Creator hereby transfers full ownership of the Deliverables and grants all applicable rights to publish, distribute, modify, copy, and exhibit the Deliverables, without limitations, to the Company and/or to its affiliated Brands, at the discretion of the Company, and permits use of the Deliverables for any commercial or marketing purposes, including, without limitation, promotion of products, promotion of events, displaying Deliverables on websites, in marketing material, on social media pages, on online marketing platforms, in presentations, as advertisements, on third-party websites, and creating derivative works of the Deliverables. The Company may, at its discretion and without the Creator's prior approval, transfer its ownership of the Deliverables with all associated rights.
The Creator hereby warrants that s/he will not make any use of the Deliverables for any purpose or any reason, without the Company's written consent, including, without limitation, posting the Deliverables on any social media platform, featuring the Deliverables in a personal portfolio, or presenting the Deliverables on any website or blog.
The Creator hereby grants permission to the Company to transfer ownership and rights of the deliverables and to download, share, distribute, repurpose, alter, display, and exhibit the deliverables to any third party, at the sole discretion of the company. The Creator hereby grants permission to the Company and its affiliated Brands to edit, crop, or retouch such Deliverables, and waives any right of inspection and/or approval.
The Creator hereby permits the Company and its affiliated Brands to use the Deliverables worldwide, for marketing, advertising, or any other similar purposes, in any medium, with or without the Creator's name or social media profile URL or handle, for an indefinite period of time, without further notification.
The Creator hereby grants the Company and its clients, successors, assigns, licensees, and agents (“Company Parties”) all of your rights in the Deliverables, including your voice, photographs, and likeness.
The Creator hereby releases the Company Parties from any claim of any kind arising from the use of the Deliverables, whether or not any claim is currently known to Creator, including waiver of any moral rights related to the Deliverables, and Creator agrees not to bring any claim against the Company Parties in connection with the Deliverables.
The Creator warrants that he has full rights to grant the license herein and that by giving such license he will not be breaching any obligations to any third parties.
Cancellation
The Company may terminate this agreement 72 hours prior to written notice if the Creator breaches this agreement. Upon termination of this agreement, the Company may immediately suspend, or change the amount of the Creator's Compensation however it sees fit and limit access to any information shared by the Company with the Creator.
Compensation
The Company shall compensate the Creator the agreed-upon amount as stated in this agreement.
The Company may compensate the Creator by PayPal, bank transfer, or any other payment method agreed upon by both parties in advance and writing. Payments will be processed up to 30 days after the Deliverables are approved by Company Parties.
The Creator is retained as an independent contractor of the Company and is responsible for paying all taxes arising out of the Creator's performance of services as applicable by law.
Jurisdiction
This agreement shall be construed and enforced according to the laws and decisions of the state of Israel.
Access to this Website is permitted on a temporary basis, and we reserve the right to withdraw or amend the Services without notice. We will not be liable if for any reason this Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts or all of this Website.
